Gilead cumpără Arcellx într-o afacere de aproape 8 miliarde de dolari

Gilead Sciences a anunțat luni că va achiziționa Arcellx într-o tranzacție de 7,8 miliarde de dolari, unind două companii biofarmaceutice care colaborează deja la dezvoltarea unei terapii CAR-T pentru mielomul multiplu, conform statnews.com.

Tranzacția evaluează Arcellx la 115 dolari pe acțiune, ceea ce reprezintă un premium de 79% față de prețul de închidere al acțiunilor de vineri. Acționarii Arcellx vor fi, de asemenea, eligibili pentru o plată suplimentară de 5 dolari pe acțiune, în funcție de atingerea unui obiectiv de vânzări viitor.

Piesa centrală a înțelegerii este o terapie experimentală CAR-T numită anito-cel, care a fost dezvoltată inițial de Arcellx. Din 2023, terapia a fost co-dezvoltată de Kite Pharma, divizia de terapie celulară a Gilead, ca parte a unui acord de colaborare și co-marketing.
